These General Terms of Sale and Use (the “Terms”) govern the contractual relationship between the Elodia platform (“Elodia”, “we”, “our”) and any natural person or legal entity (the “User”, the “Client” or “you”) who subscribes to a plan or uses the content generation, memory management and funding application support services available on the website https://elodia.app.

How quotas are calculated
- Periods: The monthly and annual limits are calculated from the start date of the Client’s subscription, not by calendar month or calendar year. A change of plan keeps this date. A new subscription after a cancellation starts from its own date.
- Questions to the AI agent: Each project includes 100 questions to the AI agent. A purchased Extra project can be used to create a project or to add 100 questions to an existing project.
- Deleting a project: A project counts toward the quota as soon as it is created. Deleting it frees up its place only if 6 or fewer questions have been asked in it. From the 7th question onward, the project is considered used and remains counted in the quota for the period, even if it is deleted.
Users and sharing
- Named seats: Each seat corresponds to a single person, who uses their own account. Sharing login credentials among several people is prohibited. On the Team plan, the plan holder may add extra seats at $29 CAD per month each (monthly subscription) or $290 CAD per year each (yearly subscription), billed when added, prorated for the current period, then at full price at each renewal. A seat added during the free trial is free until the trial ends. A removed seat stops being billed right away, with no credit for the current period.
- Plan holder: The Client who subscribes to the plan invites their collaborators and chooses their role (editor or viewer) and the applications shared with each of them. The Client may remove access at any time. The applications and the Memory remain the property of the plan holder. The Client is responsible for the use made by their collaborators.
- Collaborators: Each collaborator accepts these Terms and the Privacy Policy by accepting the invitation. An editor can view and edit the shared applications but cannot delete or share them. A viewer can only view them. Projects created by a collaborator for the plan holder count toward the plan holder’s quota.
- Change of plan: If the new plan includes fewer seats than the number of active collaborators, access for the most recently invited collaborators is suspended. A plan without sharing suspends all access. No data is deleted and access resumes as soon as a seat becomes available or the plan allows it again.

Article 4. The “Elodia Rollover” (rollover policy)
Unused monthly projects are carried over to the following month, up to the following caps:
| Plan | Maximum rollover |
|---|
| Artist | 4 projects |
| Intermediate | 6 projects |
| Team | 16 projects |
Condition: The rollover takes effect in the 4th consecutive month of subscription. Under no circumstances may the Rollover be used to exceed the annual quota. Any cancellation results in the forfeiture of accumulated credits.
Article 5. Billing and renewal
- Payment: All payments are processed through our secure provider, Stripe.
- Automatic renewal: At the end of the term, the subscription renews automatically unless it has been cancelled beforehand. Promotional launch pricing applies to the first year only.
Article 6. Cancellation and no-refund policy
- No refunds: In keeping with SaaS industry practice for digital content with immediate access, all amounts paid are strictly non-refundable. No pro rata refund is granted.
- Cancellation: The Client may cancel automatic renewal at any time from their settings. Access remains valid until the end of the paid cycle.
- Team plan free trial: A first Team plan subscription, monthly or yearly, starts with a 14-day free trial, offered once per Client. A payment card is required when subscribing. Nothing is charged during the trial; the subscription then starts automatically unless the Client cancels it before the end of the trial.
Article 7. Data sovereignty and hosting (Law 25)
In accordance with Law 25 (Quebec) and PIPEDA (Canada), Clients’ accounts, applications and documents are hosted in Quebec and their encryption keys are managed there. Some providers process information outside Quebec, including in the United States: the artificial intelligence provider (OpenAI) for the content needed for its responses and for reading documents, the payment processor (Stripe) and the email tools (MailerLite and Resend). These transfers are described in section 6 of the Privacy Policy.
Article 8. Privacy and security
Elodia applies reasonable security measures to protect your applications, including encryption of sensitive data, strict access control and logging of access to documents. Your accounts, applications and documents are hosted in Quebec.
The processing of your personal information, including by our artificial intelligence provider, is described in our Privacy Policy.
